PROCEDURE FOR SETTING UP A W.L.L COMPANY IN KUWAIT

 STEP-BY-STEP PROCEDURE  

  •         File with the Department of Partnerships (DOP) at the Ministry of Commerce & Industry an application to set up the Company; 

  

  •         Select a name for the Company and file an application with the Commercial Registry of the Ministry of Commerce & Industry in this regard; 

  

  •         Retrieve from the Department of Partnerships the notes addressed to the Local Bank, the Kuwait Municipality and the Criminal Investigation Department;

  

  •         Deposit the legally required initial capital in a local bank and obtain deposit evidence; 

  

  •        Procure extracts of the criminal record of the founding partners in preparation to the registration formalities with the Commercial Registry; 

  

  •        The Kuwait Municipality inspects the company's premises and issues a certificate; 

  

  •        Obtain a Memorandum of Association form from the Department of Partnership;  

  

  •        Sign and notarize the Memorandum of Association before a public notary; 

  

  •         Obtain from the Department of Partnerships a license to start activity;  

  

  •         Register with the Commercial Registry; 

  

  •         Register with the Kuwait Chamber of Commerce & Industry which certifies a sample of Signature;

  

  •         Register with the Civil Data department at the Public Authority For Civil Information;  

  

  •         Open a companys labour file at the Ministry of Social Affairs & Labor; 

  

   
 DOCCUMENTS REQUIRED
 
1.   Power of Attorney to our law office, from each partner (For a W.L.L, Company legislation requires atleast two partners and one of the partners must be Kuwaiti whose shares should not be less than      51 %).
  
2.     Details of the company (Name of the partners, the capital of the company, the percentage ownership of the capital by each partner, the business activity of the company and other details). 
  
3.     The copy of the certificate issued by the Public Institution for Social Security , Kuwait showing that the Kuwaiti Partner is not a Public servant in Kuwait . 
  
4.    Non objection letter by the current Kuwaiti sponsor / employer attested by the Kuwait Chamber of Commerce & Industry; 
  
5.    Copy of the Civil I.D copy and copy of the Passport for the foreign investor.
  
6.   Lease contract for the office premises of the company and a receipt showing that the first rent was paid.
  

 

TIME FRAME 
 
 
   The procedure can be broken down into two parts: 
  
  
 Preparing the Doccumentation:This includes drafting and legalization
 

                              Time frame: 1 to 2 days approximately 

  

 Registeration Procedure: This includes the approval and notarization of the Memorandum of Association, approval of the trade name, retrieve from the Department of Partnerships, the notes addressed to the Local bank, Kuwait Municipality and the Criminal Investigation Department and commercial registration.
